By Wooden Yacht For Sale Editorial Desk
A wooden yacht escrow purchase places the deposit with a neutral stakeholder or escrow agent, released only on the contract's conditions: survey, sea trial, clean documents and a deadline. MYBA's 2021 MOA leaves the deposit amount to negotiation rather than a fixed 10 percent. We could not verify any lender terms for wooden yachts in Indonesia, so budget cash.
A deposit on a wooden boat carries more risk than usual because the condition is uncertain until the boat has been opened up and hauled out. Escrow keeps your money safe during the very period you are finding out whether you want the boat.
Why should the deposit not go straight to the seller?
Once money reaches the seller, your position shifts. If the survey goes badly, you are asking for a refund from someone who may have spent it, in a country that may not be yours. A neutral holder removes that problem, or at least greatly reduces it.
Passion Asset Advisory describes the practice: a deposit held by a stakeholder or escrow agent, with amount, holder, deadlines and release conditions all set by the signed contract. Boatmere lists pressure to pay without escrow among the red flags for stopping or delaying a deal.
The MYBA 2021 Memorandum of Agreement goes further on timing. The deposit has to reach the stakeholder before any sea trial or condition survey goes ahead. So the seller gets assurance that you are serious, and you get assurance that nobody can touch the funds.
Who may hold the funds: stakeholder, escrow agent or lawyer?
We could not verify a list of licensed escrow providers for yacht sales in Indonesia, and we name none. Compare the options by asking the same questions of each.
| Holder | Strength | What to confirm |
|---|---|---|
| Escrow agent | Handling funds is the core job | Regulation, country, fees, dispute process |
| Law firm or notary | Professional duties, close to the documents | Whether it can legally hold client funds, and in which account |
| Yacht broker as stakeholder | Common in yacht deals, knows the process | Client account separation, which side it acts for, what happens if it fails |
| Seller or seller's associate | None for you | Avoid |
YachtWorld's research on commissions and escrow accounts covers how this works in the international brokerage market. Our page on how a wooden yacht broker is paid explains why you should know which side the holder is on.
Which contract forms can you expect: MYBA MOA, bespoke Indonesian contract or Akta Jual Beli?
These do different jobs, and you may end up using more than one.
- MYBA MOA. A recognised form for sale and purchase in the wider yacht market. It sets out deposit, survey, trial and acceptance mechanics. Parties may adapt it.
- Bespoke Indonesian contract. A conditional sale contract drafted for this boat. Quality varies, so have it read by a lawyer who works in Indonesian maritime matters.
- Akta Jual Beli. According to Emerhub, ownership passes through this deed before an Indonesian notary, after which the buyer receives a Grosse Akta.
The first two govern the path to closing. The third carries out the transfer. Make sure they do not contradict each other, particularly on price and on what is included.
Vessel-sale contracts handled through this desk sit with PT Komodo Galangan Nusantara, and brokerage with PT Komodo Bahari Nusantara. Those details are stated before any agreement, and the site itself holds no funds.
Which conditions should control release of the money?
Write each one as a condition, with a date and a named person who decides.
- Survey. The buyer's surveyor completes a condition survey, with the agreed scope attached.
- Haul-out. The bottom is inspected out of the water, because Cali Coast Marine Services notes lower seams, fastenings and bottom paint cannot be judged while she floats.
- Sea trial. Date window, duration, sea area, and pass criteria.
- Documents. Originals are checked at the ship-status desk, and any mortgage is discharged or released at closing.
- Deadline. A long-stop date after which the buyer may withdraw and be refunded.
Our guide to wooden yacht title documents lists what "clean documents" should actually mean. Vague wording such as "subject to satisfactory documents" invites a dispute, so name them.
What can we verify about financing?
Very little. We found no public source for loan terms on wooden yachts in Indonesia, including interest rates, loan-to-value ratios or whether lenders accept timber hulls at all. Those points are gaps in our research, and any figure you see elsewhere deserves a source.
If you do seek finance, raise these early:
- Does the lender accept a wooden hull, and of what age?
- Which survey and valuation does it require?
- How would its security be registered? A mortgage shows on the ship's record.
- Does its timetable fit the contract's deadline?
Otherwise assume a cash purchase. A finance condition can be written into the contract, but sellers often resist it.
How should you handle currency, transfers and proof of funds?
Published Indonesian listings can quote more than one currency, so state the contract currency explicitly. Fix who bears exchange-rate movement between signing and closing, and who pays bank charges.
- Pay only to an account named in the contract, in the holder's own name.
- Confirm any change of bank details by phone with a known contact, since changed details are a familiar fraud.
- Keep the bank's transfer confirmation, the holder's receipt and every release instruction.
- Ask what proof of funds the seller's side needs, and give it to the holder or lawyer instead of circulating it widely.
A serious seller may reasonably ask you to show you can pay. It does not need your whole financial history.
How do you walk away and get a refund?
Agree on the exit while everybody is still friendly. Your contract should answer these points in plain words:
- Which findings let you reject: any defect, a material one, or a defect above a stated repair value?
- How and by when you give notice, and to whom.
- What silence means. Some forms treat no reply as acceptance.
- Whether the seller can offer repairs instead, and within what time.
- How fast the holder must return the money, and with what deductions.
- What happens if the two sides disagree, including the governing law and forum.
Then put the dates in your calendar. A missed notice can cost you the deposit even when the boat was the problem. If you ever feel rushed past any of these steps, stop and call your lawyer.
What do buyers ask about deposits and escrow?
Short answers for buyers about to transfer money. Have your lawyer read the actual wording before you do.
How much deposit is normal on a wooden yacht?
Passion Asset Advisory describes planning for about 10 percent, but the MYBA 2021 form no longer fixes it at that level, leaving the amount to commercial agreement. So it is a negotiated number. What matters as much is who holds it and on what terms it comes back.
Can I pay the deposit to the seller or broker directly?
Avoid paying the seller. Use a stakeholder named in the contract, such as an escrow agent or a law firm, with written release conditions. If a broker acts as stakeholder, ask how client money is kept apart from the firm's own funds. Pressure to skip this is a warning sign.
What contract should I use to buy a wooden yacht?
Depending on the boat and parties, you may see the MYBA Memorandum of Agreement or a bespoke contract, followed in Indonesia by an Akta Jual Beli before a notary. Have a licensed maritime lawyer choose and adapt it. Check that the survey, sea trial and refund terms are all in the document you sign.
Can I finance a wooden yacht in Indonesia?
We could not find public lender terms for wooden yachts in Indonesia, so we suggest budgeting as a cash purchase unless a lender confirms otherwise in writing. Ask about survey requirements, timber construction and mortgage registration before you rely on a loan.
When do I lose my deposit?
That depends on the contract. Typically the risk begins when a condition has been met or a deadline has passed, or if you pull out without a right to do so. Read the notice period closely, because silence may count as acceptance under some contract forms.
